What is this about?
As you may have seen on our website and newsletter, under the Incorporated Societies Act 2022 (which replaced the 1908 Act), all incorporated societies are required to reregister under the Incorporated Societies Act 2022 before 5 April 2026 in order to remain on the register.
As part of this process, we are required to update our constitution (formerly known as ‘rules’ but this is reverting back to ‘constitution’ under the new Act) to make sure it includes some specific content required under the new Act. It is also a good opportunity to update and modernise the constitution further, having already completed some of that work in 2022 when we last made changes.
We have been hard at work preparing our new constitution to comply with the new requirements, and this special general meeting is your chance to vote to approve:
- our decision to reregister; and
- the new constitution.
Included with this notice are:
- the draft new constitution for your review;
- our current rules, as updated at our 2022 AGM for a comparison; and
- a copy of s 26 of the Incorporated Societies Act 2022, which lists what is required to be included in the constitutions of all incorporated societies that are re-registering.
Why your vote matters!
We need our members to agree to reregistration to enable us to proceed with our application. If we don't reregister, we will no longer be able to operate as an Incorporated Society and will lose vital funding for our services.
We also need our members to approve our new constitution, to comply with the new legislation. If we don't receive sufficient votes in support of the constitution, we will not be able to reregister as an Incorporated Society.

If you are unable to attend the meeting in person you are welcome to submit an email vote by email to info@wellingtonms.org.nz. Your email vote should be received before the meeting starts at 10am Saturday 13 December.
